This article analyzes the main aspects of the legal regime set forth in the D.F.L. N° 5, dated February 17th, 2004, considering the economic importance of the cooperatives in Chile and the scant dogmatic attention received. It then compares it with the complex regulation of the Spanish system, formed by a state law and by laws dictated in almost every autonomous region. The comparison will allow appreciating the different dogmatic focus of both regulations. The Chilean one understands the cooperative as a society, mainly of a mutual consider the cooperative as character. The Spanish one has been inclined to a commercial association, once it has overcome the dogmatic obstacles. In spite of it, the conclusion will be that issues typical to associations and societies still remain, being in coexistence in the regulation of both countries.El presente artículo, partiendo del supuesto de la importancia económica de las cooperativas en Chile y la escasa atención dogmática que ha recibido, analiza los principales aspectos del régimen jurídico establecido en el D.F.L. N° 5, de 17 de febrero de 2004 y los compara con la compleja regulación del sistema español, constituido por una ley estatal, como por leyes dictadas en prácticamente todas las comunidades autónomas. La comparación permitirá apreciar el distinto enfoque dogmático de ambas regulaciones; la chilena, concibiendo la cooperativa como una asociación, de carácter marcadamente mutualista. La española, superando obstáculos dogmáticos, se ha inclinado por considerar la cooperativa como una sociedad mercantil. A pesar de ello, se concluirá que subsisten en ambas legislaciones cuestiones propias de las asociaciones y de las sociedades, permaneciendo en común convivencia en la regulación de ambos países.
