Las sociedades estatales son aquellas en que participa un órgano de la Administración del Estado, facultado por una ley de quórum calificado para desarrollar actividades empresariales. Dichas sociedades se constituyen y funcionan con arreglo a las disposiciones del derecho común y difieren de las empresas públicas creadas por ley. Sin embargo, y aun cuando no se gobiernan, como regla general, por un marco normativo de Derecho público, la presencia de un órgano estatal les confiere características particulares, que se manifiestan en su fin, en los límites que se imponen a su giro y en el régimen de control a que están sujetas. Sobre todos esos aspectos, el ordenamiento jurídico ha previsto un régimen especial, cuyo propósito final es asegurar el resguardo del interés público que sustenta la participación de la Administración del Estado en este tipo de sociedades, las cuales no integran la Administración del Estado sino que forman parte de la denominada administración invisible del Estado.State-owned societies are the ones that participate in one body of the State Administration, empowered by a qualified quorum law to develop entrepreneurial activities. Said societies are constituted and work in accordance with the stipulations of the civil law and differ from the public companies created by law. However, as a general rule, although they are not governed by a regulatory framework of public Law, the presence of a state body grants them especial characteristics which become evident in their aim, in the limits imposed to their line of business and in the control regime which they are subject to. The legislation has prepared a special regime regarding all these aspects. Its final objective is to ensure the protection of the public interest that supports the participation in the State Administration in these types of societies, which do not integrate the State Administration, but that they are part of the so called invisible administration of the State.
